Corporate Governance
Proxima Energy maintains a governance system in line with international best practice standards, able to deal with the complex situations in the African and international energy markets.
Our organisational structure follows the traditional administration and control model where the Board of Directors is solely responsible for the Company‘s management. The Board of Directors is responsible for:
- selecting, evaluating the CEO and succession planning;
- reviewing, approving and monitoring fundamental financial and business strategies and major corporate actions;
- assessing major risks facing the Company and reviewing options for their mitigation;
- ensuring processes are in place for maintaining the integrity of the Company, its financial statements, its compliance with law and ethics, the integrity of its relationships with customers, suppliers, and other stakeholders.
Day-to-day administration is supervised by the Managing Director who works with a team of Executive Directors Managers. These Executive Directors and Managers are chief account officers for our various portfolios of businesses.
